("Company", "we", "us", or "our"), concerning your access to and use of the Social Gate platform, website, mobile applications, and all related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Services.

2. Definitions

To help you understand these Terms, here are some key definitions:

  • "Account" means a unique account created for you to access our Services.

Important: Never share your account credentials with others. Social Gate will never ask for your password via email, chat, or phone.

4. Billing and Payments

4.1 Subscription Plans

Our Services are offered on a subscription basis. You can select from different subscription plans, each with different features and pricing. Current pricing and plan details are available on our website.

4.2 Payment Terms

By subscribing to our Services, you agree to the following payment terms:

  • Payment is due at the beginning of each billing cycle
  • All subscriptions automatically renew unless canceled prior to the renewal date
  • You authorize us to charge your payment method for the subscription fees
  • If your payment is declined, we may suspend your access to the Services
  • All fees are exclusive of applicable taxes, which you are responsible for paying

4.3 Free Trials

We may offer free trial periods for our Services. At the end of the free trial period, you will be automatically charged for the subscription unless you cancel before the trial ends.

4.4 Refunds

Refunds are handled on a case-by-case basis. We do not offer automatic refunds for subscription fees already paid. Please contact our support team if you believe you are entitled to a refund.

5. Service Usage

5.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates any applicable local, state, national, or international law or regulation
  • Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services

You retain all ownership rights in the User Content you submit to the Services. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display User Content in connection with the Services.

If you provide us with any feedback or suggestions regarding the Services ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we have the right to use and fully exploit such Feedback in any manner we deem appropriate.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Services will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • The Services are free of viruses or other harmful components
  • The results of using the Services will meet your requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any other matter relating to the Services

Our total liability for any claim is limited to the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Social Gate, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Services
  • Your violation of any rights of a third party

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Modifications to the Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, you must stop using the Services.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
